Magic Beans® is an impact business. We have this enshrined in our Constitution. We seek value and vision-aligned impact-focused investors to come on our journey with us. We will speak to everyone who wishes to invest to ensure this is the case, before accepting investment.

We will be raising equity investment in late 2023, to implement phase 2 of our app development plan, and to start our journey into international markets. Our negotiables:
· Board positions for large investors – naturally, if you have a significant stake in Magic Beans®, you may wish to help steer our forward progress. No worries! We are looking for Board Members who have skills and experience in Governance, International Expansion, Startup Growth and more, and we’re totally open to discussions, so reach out to Sarah here.

Our non-negotiables:
· Magic Beans® will always be free to download and use the basic functions. This is to ensure we are not restricting use to only those with the ability to pay. Given 800 Million people worldwide go to bed hungry every night, mostly due to poverty, this is very important to us.
· We have set up our Shareholders agreement to allow us as Founders first choice of purchase of shares which are for sale, with second choice going to existing shareholders. This is our life’s work, and we see ourselves as kaitiaki (custodians) of Magic Beans® for many years to come. Our shareholders’ agreement (along with all of our data room) will be available to qualified investors as we raise our first investment round.

How we interact with investors:
We use Orchestra share register and shareholder communications platform. This helps us to remain compliant and to ensure that all investors have access to all reports and communications in a timely manner. We also welcome emails and phone calls if you have any questions.

Investment Prospectus
Yes! We will be producing an investment prospectus to ensure you have all the information you need about Magic Beans™ to make an informed decision on investment with us. Our data room will also be open to qualified, committed investors to conduct due diligence prior to confirming investment. This will have all the normal inclusions:
· Business plans and strategies
· Company documents
· IP protection and licensing documentation
· Financial reports and pro-forma statements
· Impact and other metrics
